Philips Industrial X-Ray of Hamburg, Germany and Andrex AS of Copenhagen, Denmark
announce their merger and the formation of,

YXLON International.

YXLON International, with sales volume in excess of DM 70 million, will maintain the manufacturing locations in Hamburg and Copenhagen as well as the service facilities in Atlanta, Georgia. YXLON retains its present work force of 180 highly motivated employees. The new Company will be jointly owned by a group of financial investors under the leadership of Botts & Company, London, NDT International Holdings of Copenhagen and members of the Management Team in Hamburg. Botts & Company is the majority shareholder.

YXLON International is the world's leading supplier of industrial x-ray equipment for non-destructive testing, with the most comprehensive range of products, from portable x-ray units to fully automatic systems. YXLON's systems are designed to meet the increasing needs for safe and reliable products and real-time inspection in, for example, the aerospace, the automotive and the casting industries. It is the objective of YXLON International and its employees to provide the highest quality products and services. Accordingly, all manufacturing and services are carried out in conformance with ISO 9000 Standards.

World-wide sales, services and product marketing will be co-ordinated from the main office in Hamburg and augmented by the other locations. Customers can rely on a team of dedicated sales and service personnel and YXLON International's wide-spread network of licensed distributors and agents in all major regions and countries of the world.

Given the history and extensive experience of the merged partners, YXLON International is well prepared for the challenges of the future. Concentrated efforts will be made to strengthen further the company's customer support and service capabilities and use the combined resources of the partners for a global alliance with its customers.
